Five separate histories
- Legal entity age
- Time since legal formation, established through state records.
- Operating history
- The period of actual commercial activity, supported by operational records.
- Revenue history
- Actual revenue earned, supported by financial statements, tax records and transactions.
- Ownership history
- Who controlled the company and when; a new owner does not inherit the previous owner's tenure.
- Credit history
- Borrowing and payment performance; it is not created by a formation date or a domain registration.
Purchasing a shelf company does not automatically meet time-in-business requirements, create revenue, establish a credit score or guarantee loans, business credit or SBA approval. Domain registration age is not evidence that a business operated or earned revenue. Represent current ownership and actual operations accurately in every application.
Records and due diligence
Good standing is a state registration status as of the check or certificate date. It does not certify that an entity has no debts, tax liabilities, contracts, litigation or prior obligations. Statements about unused status, no existing EIN, continuous compliance or clean history require supporting records for the particular entity.
Review state filings, ownership and governance records, seller representations and relevant financial, tax, lien and litigation evidence before purchase. A missing EIN does not itself prove no operations or liabilities. Ask an accountant whether an existing EIN continues or a new one is required.
Inventory, pricing and written agreements
Illustrative listings and images are educational examples, not verified offers or availability records. Package pricing, inclusions, government charges, registered-agent renewals and transfer scope require written confirmation. Submitting an enquiry does not complete a purchase or establish financing eligibility.
The transaction-specific signed agreement should set out the parties, documents, fees, representations and any refund or cancellation terms. This page does not invent those contractual terms or replace that agreement.
